As previously reported, ABB announced on 16 July 2026 an all-cash agreement to acquire Rotork at an enterprise value of approximately USD 5.5 billion (see our earlier article). The latest developments show that the largest actuator acquisition in years has cleared both shareholder approval and court sanction, moving into its closing countdown.
Approval timeline:
· August: the Scheme Document was published, setting the voting timetable — preference shareholder record time on 1 September, and the ordinary share court meeting at 10:15 a.m. on 3 September;
· Early September: Rotork shareholders approved the scheme at the court meeting and general meeting, and the UK court subsequently sanctioned the scheme — the decisive green light;
· 18 September: Rotork announced changes to its board of directors as closing preparations advance;
· Next steps: completion pending regulatory clearances, expected in the first half of 2027.
Under the announced terms, the deal is an all-cash acquisition of 503 pence per Rotork share, valuing the company at approximately USD 5.5 billion. After completion, Rotork will operate as a separate division within ABB's automation business under the decentralized "ABB Way" model, retaining its UK presence.
From the July announcement to shareholder approval and court sanction took less than two months — faster than most market observers expected. The pace and pricing signal the strong confidence of leading automation groups in the valve actuation segment.
